Hawryluk Advisors has been retained exclusively by Aramco Services Company (“ASC”), the Houston based wholly-owned subsidiary of Saudi Aramco, the world's largest integrated oil, natural gas, and petrochemicals company, to find a 5+ year Tax Counsel with a strong background in U.S. and international taxation for its Law Department in Houston, Texas.
Candidates must have graduated from an accredited U.S. law school and have a minimum 5 years of experience working for a leading U.S. law firm and/or an in-house tax department of a multinational company. An LL.M. in Taxation is a strong plus.
RESPONSIBILITIES
The Tax Counsel’s duties and responsibilities will include a broad range of general corporate taxation matters including, but not limited to:
• Providing federal, state, and international tax planning advice to other attorneys and internal clients, preparing legal analysis and opinions, planning tax efficient structures for major projects, and advising and making recommendations to ASC management regarding tax and legal issues;
• Reviewing relevant current and proposed legislation, treaties, and governmental regulations and advising on consequences and tax planning opportunities with regard to same;
• Assisting and coordinating with outside counsel and accounting firms with respect to ongoing transactions and alternative business structures;
• Managing tax controversies and audit responses to inquiries raised in connection with federal, state, and local tax examinations of ASC and its entities;
• Managing required filings to the Internal Revenue Service and Department of Labor;
• Advising and assisting benefits counsel on tax plans, documents, and notices, and evaluating and resolving disputed benefits claims and related issues, and;
• On occasion, drafting, reviewing, and negotiating commercial contracts and corporate legal documents, advising on compliance, and collaborating with executives and other cross-functional teams to provide strategic business advice.
This position will work within the Law Department of Aramco Services Company in Houston and report to the General Counsel. Every ASC attorney has broad autonomy over his or her day-to-day practice.
REQUIREMENTS
The successful candidate will have the following qualifications:
• At least 5 years of practice with a large law firm or company;
• J.D. from an accredited U.S. law school; and,
• Licensed, admitted to practice, and in good standing in the United States.

RESPONSIBILITIES
The Law Department at ASC is responsible for providing legal counsel and advisory services to Saudi Aramco’s US-based business units, subsidiaries, and joint ventures.
Reporting directly to the General Counsel of ASC, this attorney’s responsibilities will include supporting Saudi Aramco’s United States-based financing matters and major project development. This attorney will:
• Assist the company in assessing, negotiating, and acquiring equity ownership and offtake positions in a variety of companies and industries located in the United States and abroad;
• Lead legal activities with respect to the development of inter-company financing, including the structuring, negotiation, and documentation of such transactions;
• Advise management and internal clients with respect to the Company’s legal rights and obligations in connection with mergers and acquisitions and general corporate matters;
• Manage and work with outside counsel on same; and,
• Support ASC on a broad range of general corporate matters including, but not limited to: drafting, reviewing, and negotiating commercial contracts and corporate legal documents of varying complexity; advising on governance, compliance, and corporate formation; and collaborating with executives and other cross-functional teams to provide strategic business advice.
Every ASC attorney has broad autonomy over his or her day-to-day practice.
